First Non-Profit Board Meeting

Board MeetingWe had our first official Non-Profit Board meeting last month since becoming a 501(c)(3) non-profit organization.

The meeting took place in Miami and was attended by all the Directors and our non-profit/fundraising consultant. The newly appointed Directors got to meet each other for the first time.

After preliminary introductions, the Directors nominated and elected the officers of the corporation as follows:

President and Treasurer: Patrick Russell

Vice-President: Andrae Marak

Secretary: Gene Garren

Other Business

The first order of business for the Board was to review the legal filings for the Making History Project, including its incorporation documents and recent non-profit status. Thereafter, the Board enacted a Conflict of Interest Policy for each director to sign. The purpose of the Conflict of Interest Policy is to protect the non-profit status for the organization. As such, no director is permitted to enter into a transaction with the Making History Project that would benefit his or her own private financial interest.

Current Projects

The Board is presently working on completing the By-Laws as well as crafting a succinct and meaningful mission statement for the organization. Grants, partnerships with other organizations, and fundraising were the additional topics discussed. Expect the website to be updated shortly with a page for the Board of Directors including a short bio for each director.
